1. Acceptance of Terms

By accessing or using Play Finance (“the Platform”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Platform.

2. Description of Service

Play Finance is a decentralized platform that enables users to trade perpetual futures contracts on a composite index of AI companies, including both pre-IPO and publicly-traded entities.

The Platform provides:

• Access to perpetual futures markets tracking AI company valuations
• Liquid staking mechanisms (HYPE to pYPE)
• Governance capabilities through PLAY tokens
• Leverage trading up to 10x

3. Risk Disclosure

You acknowledge and accept the following risks:

• Leverage Risk: Leverage amplifies both gains and losses. You can lose more than your initial margin.
• Liquidation Risk: Positions may be automatically liquidated if margin requirements are not maintained.
• Market Risk: AI company valuations can be highly volatile and subject to rapid changes.
• Oracle Risk: Price feeds rely on third-party oracles which may fail or be manipulated.
• Smart Contract Risk: The Platform operates on smart contracts which may contain bugs or vulnerabilities.
• Regulatory Risk: Regulatory frameworks for digital assets are evolving and uncertain.
• Valuation Risk: Pre-IPO company valuations are less transparent and may be inaccurate.

4. Eligibility

You must meet the following requirements to use the Platform:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are not located in a jurisdiction where use of the Platform is prohibited
• You are not a resident of the United States or any OFAC-sanctioned country
• You are not subject to economic sanctions or restrictions

5. No Financial Advice

Nothing on the Platform constitutes financial, investment, legal, or tax advice. You should consult with appropriate professionals before making any financial decisions. All trading decisions are your own responsibility.

6. Wallet and Security

You are solely responsible for:

• Maintaining the security of your wallet and private keys
• All transactions initiated from your wallet
• Any loss of funds due to compromised wallet security

Play Finance cannot recover lost or stolen funds and is not responsible for unauthorized access to your wallet.

7. Trading Rules

When using the Platform, you agree to:

• Not engage in market manipulation or wash trading
• Not attempt to exploit bugs or vulnerabilities
• Not use automated trading bots without disclosure
• Comply with all applicable laws and regulations
• Not engage in front-running or other unfair practices

8. Fees

The Platform charges trading fees, funding rates, and other fees as disclosed in the documentation. Fees are subject to change with notice. Blockchain gas fees are separate and borne by users.

9. Intellectual Property

All content, trademarks, and intellectual property on the Platform are owned by Play Finance or its licensors. You may not copy, modify, or distribute any content without permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND
• PLAY FINANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• PLAY FINANCE'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE PAST 12 MONTHS
• PLAY FINANCE IS NOT LIABLE FOR LOSSES DUE TO MARKET VOLATILITY, LIQUIDATIONS, OR ORACLE FAILURES

11. Indemnification

You agree to indemnify and hold harmless Play Finance from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Platform at any time for violation of these Terms or for any other reason. You may stop using the Platform at any time.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Play Finance is organized, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

15. Changes to Terms

We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms. Material changes will be communicated through the Platform.
